Terms of Service

These Terms govern your use of eMedical Platform. By creating an account or using the service, you agree to them. Please read them carefully — they include limits on our liability and an arbitration clause for US customers.
1. The parties
These Terms are a binding agreement between eMedical Platform Pty Ltd (“eMedical Platform”, “we”) and the organisation identified as the subscriber to an account (“Clinic”, “you”). If you accept these Terms on behalf of a Clinic, you represent that you have authority to do so.
2. The service
eMedical Platform provides cloud-based practice-management software: online scheduling, patient records, billing, messaging and related features. The service is made available on a subscription basis described in your Order Form or on the eMedical Platform website at the time of signup.
eMedical Platform is not a medical device. We do not provide medical advice, diagnosis or treatment. All clinical decisions are your responsibility and that of your practitioners.
3. Accounts and access
- You must provide accurate account information and keep it current.
- You are responsible for all activity under your account, including activity of staff you invite. Enable multi-factor authentication.
- Notify us immediately at security@emedicalplatform.com of any suspected unauthorised access.
- You must be at least 18 years old to create an account.
4. Fees and billing
Subscription fees are charged per practitioner per month, in advance, in the currency specified in your Order Form. Unless stated otherwise, fees are exclusive of applicable taxes, which you are responsible for.
We may increase fees with at least 45 days’ notice, effective at the start of the next renewal term. If you do not agree to a price change, you may cancel before it takes effect.
Payment is processed by Stripe. Failed payments may result in suspension after reasonable notice. We do not issue refunds for partial months unless required by law.
5. Your data and content
You retain all rights in data you submit to the service (“Clinic Data”). You grant us a worldwide, royalty-free licence to host, process and display Clinic Data strictly to provide the service and for no other purpose. We do not use Clinic Data to train machine learning models.
Handling of Clinic Data that constitutes personal information or Protected Health Information is further governed by our Data Processing Addendum.
You represent that you have the lawful basis to upload Clinic Data and that your use of the service complies with applicable health, privacy and professional-conduct regulations.
6. Acceptable use
Your use of the service is subject to our Acceptable Use Policy. Violations may result in suspension or termination.
7. Availability and support
We target 99.9% monthly uptime, excluding scheduled maintenance and causes beyond our reasonable control. Status and incident reports are published at status.emedicalplatform.com. Support is available via email during Australian business hours; Scale plan subscribers receive extended SLAs as set out in their Order Form.
8. Intellectual property
The service, including its software, design and content (excluding Clinic Data), is owned by eMedical Platform and its licensors and is protected by intellectual-property laws. We grant you a non-exclusive, non-transferable right to use the service during the term of your subscription.
You may not (i) copy, modify or reverse-engineer the service; (ii) resell, sublicence or white-label it; (iii) use it to build a competing product; or (iv) remove proprietary notices.
9. Feedback
If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without restriction or compensation. We may implement the features you suggest and will not owe you anything for it.
10. Term and termination
These Terms start when you create an account and continue until your subscription ends. Either party may terminate for material breach if the breach is not cured within 30 days of written notice. We may suspend or terminate immediately for (i) failure to pay, (ii) security incidents you cause, or (iii) violations of the Acceptable Use Policy.
On termination, your access ends. We will make Clinic Data available for export for 60 days, then delete it within a further 30 days unless legal hold applies.
11. Warranties and disclaimers
We warrant that we will provide the service with reasonable skill and care. Except for that warranty, the service is provided “as is” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be uninterrupted or error-free.
Nothing in these Terms limits warranties that cannot be excluded by law (including the Australian Consumer Law, where applicable).
12. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these Terms in any 12-month period is limited to the fees you paid us in that period. Neither party is liable for indirect, special, incidental, consequential, exemplary or punitive damages, or for lost profits, revenues or data, regardless of the theory of liability.
These limits do not apply to (i) breaches of confidentiality, (ii) infringement of the other party’s IP rights, (iii) a party’s indemnification obligations, or (iv) liability that cannot be limited by law.
13. Indemnity
You will defend and indemnify eMedical Platform against third-party claims arising from (i) your Clinic Data, (ii) your or your users’ violation of these Terms or applicable law, or (iii) clinical decisions made using the service.
14. Governing law and disputes
These Terms are governed by the laws of Victoria, Australia (or the jurisdiction stated in your Order Form). The courts of that jurisdiction have exclusive venue, except that either party may seek injunctive relief in any competent court.
For US subscribers only: any dispute will be resolved by binding arbitration administered by JAMS under its Streamlined Rules, in San Francisco, California. This clause does not apply to small-claims court or to injunctive relief.
15. Changes
We may update these Terms from time to time. Material changes take effect 30 days after we post them, and we will notify you by email where we have it. Continued use after the effective date constitutes acceptance.
